1. Who you are contracting with

CirCompass (the "Service") is provided by France Tech Services LLC ("CirCompass", "we", "us"). By creating an account or using the Service, you agree to these Terms.

2. The Service

CirCompass is a software-as-a-service platform for field service businesses, including job ticketing, scheduling, dispatch, customer management, pricebook, and a customer portal.

3. Accounts and accuracy

You must provide accurate registration information and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials.

4. Acceptable use

You must not use the Service unlawfully, send spam, infringe intellectual property or privacy rights, upload malware, probe or interfere with security, scrape or reverse engineer, resell without consent, or circumvent technical limitations.

5. Customer data and license

You retain ownership of the data you submit ("Customer Data"). You grant us a limited, worldwide, non-exclusive license to host, process, transmit, and display Customer Data solely to provide and improve the Service.

6. Our intellectual property

We retain all right, title, and interest in the Service. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.

7. Payments, billing, and subscription terms

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, currency conversion, cancellations, and refunds are governed by Paddle's Checkout Buyer Terms. Subscriptions renew automatically until canceled.

8. SMS / text messaging program

Where enabled by a company using CirCompass, the Service sends transactional 1:1 SMS to end users (the company's customers) related to services those users have requested — appointment confirmations, technician-arrival alerts, quote availability, deposit and invoice requests, receipt confirmations, and two-way support replies. No marketing, promotional, or bulk messages are sent through this program.

End users opt in via one of three paths, all documented at /sms-consent:

  1. Public web quote/contact form — the user enters their mobile number and must check an unchecked-by-default consent box next to the phone field. The box reads: "By checking this box and providing my mobile number, I agree to receive SMS text messages from {company} related to my service request, including appointment confirmations, technician arrival alerts, quote and invoice notifications, and support replies. Message frequency varies. Message and data rates may apply. Reply HELP for help, STOP to cancel. See Privacy Policy https://mycircompass.com/privacy and Terms https://mycircompass.com/terms."
  2. Customer portal quote acceptance — the same disclosure is shown above the Accept Quote button in the portal at https://cloud.mycircompass.com; clicking Accept is the affirmative opt-in.
  3. Customer-initiated text — an inbound message to a business's CirCompass number is treated as express consent for a 1:1 reply, per CTIA guidelines.

Message frequency varies. Message and data rates may apply. End users can reply STOP to opt out at any time (honored immediately, confirmed) or HELP for help. We do not share, sell, rent, or otherwise provide mobile phone numbers or messaging consent information to any third parties or affiliates for marketing or promotional purposes. 9. Refunds

See our Refund Policy. Refunds are processed by Paddle.

10. Service level and warranties

We do not guarantee that the Service will be uninterrupted or error-free. To the fullest extent permitted by law, the Service is provided "as is" and we disclaim all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of liability

Neither party will be liable for indirect, incidental, consequential, special, or punitive damages. Our aggregate liability will not exceed the fees you paid for the Service in the twelve months preceding the claim.

12. Indemnification

You will defend and indemnify CirCompass against any third-party claim arising from Customer Data, your use of the Service in violation of these Terms, or your violation of applicable law.

13. Suspension and termination

We may suspend or terminate access for material breach, non-payment, security/fraud risk, or repeated or serious policy violations. On termination we will make Customer Data available for export for a reasonable period, then delete it.

14. Changes to the Service or Terms

We may update the Service and these Terms. Material changes will be communicated in-app or by email.

15. Governing law

These Terms are governed by the laws of the State of Florida, United States. Exclusive venue for disputes is in Florida state or federal courts.

16. Assignment

You may not assign these Terms without our consent. We may assign in connection with a merger, acquisition, reorganization, or sale of assets.
